How to set up Representative Office in Vietnam ?
#1 Preparing the required documents
In order to set up a RO in Vietnam, you must prepare the following documents
- An application for establishing Representative Office (“RO”) in Vietnam (We shall provide you the sample of application)
- Copy of the Business Certificate or equivalent documents of the foreign company; legalized by Vietnamese Consular in your country; translated into Vietnamese and certified in accordance with Vietnamese law.
- In case the Business Certificate does not have all information of the foreign company (Name; address; Certificate number; especially Business line, including services the Company provide, etc); the Memorandum and Article of the Company must be provided. (legalized by Vietnamese Consular in your country; translated into Vietnamese and certified in accordance with Vietnamese law).
- A letter of appointment of the head of the RO; translated into Vietnamese and certified in accordance with Vietnamese law).
- The audited Financial Report of the last fiscal year; translated into Vietnamese and certified in accordance with Vietnamese law).
- Copies of the passport or ID card (for Vietnamese) or copies of the passport (for foreigners) of the head of the representative office; translated into Vietnamese and certified in accordance with Vietnamese law).
- Documents on the expected location of the representative office including:
- Certified copies of memorandum of understanding (MOU) or leasing agreements or documents as proof of the right to use a location as the representative office; translated into Vietnamese and certified in accordance with Vietnamese law).
- In case you sign leasing agreement with a lessor to use an office, you must also provide the certified copy of the document proving the ownership of this lessor (For example: Certificate of Land Use Rights); translated into Vietnamese and certified in accordance with Vietnamese law).
- Power of Attorney (we shall provide you the form), legalized by Vietnamese Consular in your country; translated into Vietnamese and certified in accordance with Vietnamese law.
# 2 Filing the application.
Time Frame
In case your dossier is prepared properly; within 07-10 working days from the filing date, you shall be granted the License for establishment of RO in Vietnam.
#3 Receiving Certificate
Receiving Office
Your dossier must be submitted to the Industrial and Trade Portal in the city where your RO is placed.
